Terms and Conditions

Welcome to ThruEdu ("Platform," "we," "us," or "our"). By accessing or using our AI-powered learning platform, you ("User," "you," or "your") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, you must not access or use the Platform.
These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines, including but not limited to:
- Republic Act No. 10173 — Data Privacy Act of 2012 and its Implementing Rules and Regulations
- Republic Act No. 8792 — Electronic Commerce Act of 2000
- Republic Act No. 7394 — Consumer Act of the Philippines
- Republic Act No. 10175 — Cybercrime Prevention Act of 2012
- Republic Act No. 10844 — Department of Information and Communications Technology (DICT) Act of 2015
- Civil Code of the Philippines (Republic Act No. 386)— Provisions on contracts, obligations, and damages
- Commission on Higher Education (CHED) and Department of Education (DepEd) regulations applicable to educational technology platforms
1. Eligibility and Account Registration
The Platform is intended for use by faculty members, students, and administrators of partner higher education institutions in the Philippines. By creating an account, you represent and warrant that:
- You are at least 18 years of age, or are a minor with verifiable parental or guardian consent in accordance with Section 13 of RA 10173 (special rules for processing personal information of minors).
- You have the authority to bind yourself (or the institution you represent) to these Terms.
- All registration information you provide is accurate, current, and complete.
- You will maintain the security of your credentials and immediately notify us of any unauthorized access.
We reserve the right to suspend or terminate accounts that contain false information or violate these Terms without prior notice.
2. Permitted Use and Restrictions
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for lawful educational purposes.
You agree NOT to:
- Reproduce, distribute, modify, or create derivative works of any Platform content without prior written consent, in violation of the Intellectual Property Code of the Philippines (RA 8293).
- Use the Platform to conduct, facilitate, or promote any illegal activity under Philippine law.
- Attempt to gain unauthorized access to our systems, servers, or databases — acts which constitute cybercrime under RA 10175.
- Scrape, crawl, or harvest data from the Platform through automated means without our written authorization.
- Impersonate any person, institution, or entity, or falsely state your affiliation.
- Use AI-generated content from the Platform to deceive, misrepresent, or defraud others.
- Upload, transmit, or distribute any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable.
3. AI-Generated Content Disclaimer
ThruEdu uses artificial intelligence to generate learning materials, lesson plans, curriculum suggestions, and recommendations. You acknowledge and agree that:
- AI-generated content is provided for educational assistance only and does not constitute professional, legal, medical, or financial advice.
- AI outputs may contain errors, inaccuracies, or outdated information. You are responsible for verifying any AI-generated content before relying on it.
- Faculty members retain full responsibility for the academic accuracy and appropriateness of materials delivered to students.
- We make no warranties, express or implied, regarding the completeness, reliability, or fitness for a particular purpose of any AI-generated output.
4. Data Privacy and Protection
We are committed to protecting your personal information in compliance with the Data Privacy Act of 2012 (RA 10173) and its Implementing Rules and Regulations (IRR), as enforced by the National Privacy Commission (NPC).
- Data Collected: We collect personal information necessary for account creation, course enrollment, learning progress tracking, and platform improvement (e.g., name, email, institution, academic records, usage data).
- Lawful Basis: Data is processed on the basis of your consent, contractual necessity, and our legitimate interests in providing and improving the Platform.
- Your Rights: Under RA 10173, you have the right to be informed, to access, to object, to erasure/blocking, to rectification, to data portability, and to file a complaint with the NPC.
- Data Retention: Personal data is retained only as long as necessary to fulfill the purposes outlined herein or as required by applicable law.
- Security Measures: We implement reasonable technical, organizational, and administrative security measures to protect your data against unauthorized access, disclosure, or destruction.
- Third-Party Sharing: We do not sell your personal data. Data may be shared with trusted third-party service providers under data processing agreements that enforce equivalent protection standards.

5. Electronic Transactions and Contracts
Under the Electronic Commerce Act of 2000 (RA 8792), electronic contracts, electronic documents, and electronic signatures have the same legal effect as their paper-based counterparts. By accepting these Terms:
- You consent to conduct transactions electronically on the Platform.
- You agree that electronic records and communications generated through the Platform are valid, binding, and enforceable.
- Notices sent to your registered email address shall constitute sufficient legal notice under these Terms.
6. Intellectual Property Rights
All content on the Platform — including software, text, graphics, logos, AI models, and curriculum materials — is the intellectual property of ThruEdu or its licensors and is protected under the Intellectual Property Code of the Philippines (RA 8293).
- User Content: You retain ownership of content you upload (e.g., course materials, syllabi). By uploading, you grant us a non-exclusive, royalty-free license to use, process, and display such content solely to operate the Platform.
- AI Outputs: AI-generated content produced in response to your inputs is provided to you under a limited license for personal educational use only.
- You must not reproduce, republish, or commercially exploit any Platform content without prior written consent.
7. Consumer Protection
Consistent with the Consumer Act of the Philippines (RA 7394), we commit to:
- Providing accurate and truthful information about the Platform's features and limitations.
- Addressing User complaints and inquiries in a timely and fair manner.
- Not engaging in any deceptive, unfair, or unconscionable sales acts or practices.
Users may file complaints with the Department of Trade and Industry (DTI) or the National Privacy Commission (NPC) as applicable.
8. Subscription, Fees, and Payments
Certain features of the Platform may require payment of subscription fees. Where applicable:
- All fees are denominated in Philippine Peso (PHP) unless otherwise stated, in compliance with the Bangko Sentral ng Pilipinas (BSP) regulations on electronic payments.
- Fees are non-refundable unless required by applicable law or expressly stated at the point of purchase.
- We reserve the right to modify pricing with at least 30 days' prior notice to affected Users.
- Failure to pay applicable fees may result in suspension or downgrade of your account.
9. Cybercrime Prevention and Prohibited Online Conduct
In accordance with the Cybercrime Prevention Act of 2012 (RA 10175), the following acts are strictly prohibited and may result in immediate account termination and/or referral to law enforcement:
- Unauthorized access to computer systems or data (hacking)
- Data interference, system interference, or malware distribution
- Online libel, cybersex, or child pornography involving Platform infrastructure
- Identity theft or illegal interception of communications through the Platform
- Computer-related fraud or forgery using Platform resources
10. Disclaimers and Limitation of Liability
To the maximum extent permitted by applicable Philippine law:
- The Platform is provided on an "as is" and "as available" basis without warranties of any kind, express or implied.
- We do not warrant uninterrupted or error-free operation of the Platform.
- We shall not be liable for any indirect, incidental, special, consequential, or exemplary damages arising from your use of or inability to use the Platform.
- Our total aggregate liability to you for any claim arising under these Terms shall not exceed the total fees paid by you in the twelve (12) months preceding the claim.
Nothing in these Terms limits liability for fraud, gross negligence, wilful misconduct, or any liability that cannot be excluded by Philippine law.
11. Suspension and Termination
We may suspend or terminate your access to the Platform at any time, with or without cause, including for:
- Violation of these Terms
- Non-payment of applicable fees
- Conduct that harms other Users, third parties, or the Platform
- Court order, government directive, or legal requirement
Upon termination, your right to access the Platform ceases immediately. Provisions that by their nature should survive termination (including intellectual property, disclaimers, and dispute resolution) shall continue to apply.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any dispute arising out of or in connection with these Terms shall be resolved as follows:
- Amicable Settlement: The parties shall first attempt to resolve any dispute through good-faith negotiations within thirty (30) days of written notice.
- Mediation: If unresolved, disputes may be referred to mediation under the Alternative Dispute Resolution Act of 2004 (RA 9285).
- Jurisdiction: Unresolved disputes shall be submitted to the exclusive jurisdiction of the appropriate courts of the Philippines or before the relevant regulatory body (e.g., NPC for data privacy disputes, DTI for consumer disputes).
13. Amendments to These Terms
We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. For material changes, we will notify registered Users via email at least 15 days in advance. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms. If you do not agree, you must discontinue use and may request account deletion by contacting us.
